This AI and Product Schedule (the "Schedule") forms part of the agreement between Agentshelf Inc ("AgentShelf") and Customer governing the Services. It applies to AI models, agents, Outputs, tools, integrations, public deployments, and related features. Capitalized terms not defined here have the meanings in the Platform Terms of Service or applicable enterprise agreement. The business customer, U.S. customer eligibility, and adult-user requirements in that agreement also apply to this Schedule.
1. Definitions
AI Provider means a third party that supplies an AI model, speech, transcription, or other AI service used through the Services.
Contributor Model means a model expressly offered and labeled by AgentShelf under special terms that allow the AI Provider to use submitted inputs, Outputs, feedback, or related information to train, evaluate, or improve that provider's models or services, or that AgentShelf otherwise designates as subject to special data terms.
Customer Agent means an agent, assistant, workflow, or automation configured, deployed, or controlled by Customer through the Services.
Tool has the meaning in the Platform Terms of Service or applicable enterprise agreement. It includes a connected service or capability that an agent can use to read information or take action, such as a business application, browser, file service, code executor, or communications service.
2. Model access and provider relationships
Available models depend on the feature, plan, configuration, location, account status, and provider availability. The Services may offer access through an AgentShelf-managed provider account, a provider account connected by Customer or an Authorized User, or an endpoint arranged for a particular deployment. Connecting a provider account does not make every model or feature available.
Customer's administrators choose which available models their Authorized Users may use and whether newly added models are enabled automatically. Enabling a model, including through an automatic-enablement setting, instructs AgentShelf to send the Customer Content needed for a request to that model's AI Provider.
An AI Provider receives Customer Content needed to perform the applicable request. Its retention, human review, abuse monitoring, processing locations, and training practices depend on the particular service, account, agreement, and settings, and a provider's general consumer-service terms do not necessarily describe the service used through AgentShelf. Before use, Customer is responsible for reviewing the applicable provider terms, disclosures, and model settings and for determining that they are appropriate for the information it intends to submit.
When Customer supplies or controls a provider account, Customer is responsible for its credentials, permissions, provider agreement, account settings, and provider charges.
AgentShelf may add, remove, suspend, replace, or modify supported models when reasonably necessary for safety, compliance, provider availability, end of life, performance, or product development. AgentShelf will give notice of a material model removal when reasonably practicable and as required by an Order.
3. Customer Content and data use
AgentShelf's commitment not to use Customer Content or Outputs to train machine-learning models, or to use their substance for general product improvement, is stated in Section 7 of the Platform Terms and applies under this Schedule, including to copies or excerpts in operational and diagnostic records.
In providing AI features, AgentShelf may process and store Customer Content, including conversations, files, recordings, transcripts, tool inputs and results, and Outputs, for model responses, agent execution, Tools, integrations, evaluations, security, support, troubleshooting, and legal compliance, in each case only for the purposes permitted by Section 6 of the Platform Terms. The Privacy Policy and applicable DPA explain personal-information handling.
That commitment concerns AgentShelf's use and does not replace an AI Provider's applicable terms. Provider processing is described in Section 2, with the special conditions for Contributor Models in Section 4.
4. Contributor Models
Contributor Models are available only where AgentShelf expressly offers them under disclosed special data-use terms.
A Contributor Model may be used only after an organization administrator, having reviewed the Contributor label and applicable disclosure, affirmatively enables it on Customer's behalf. An ordinary model selection or a connected provider account does not substitute for that authorization. The disclosure must identify the provider's permitted use of submitted inputs, Outputs, feedback, or related information for provider model or service improvement and any processing outside the United States. By enabling a Contributor Model, Customer accepts the disclosed provider practices for the content it submits.
Customer must not submit to a Contributor Model any category of information the provider's terms prohibit. Subject to that restriction, Customer must not submit confidential, sensitive, regulated, personal, or proprietary information unless Customer has determined that the disclosed provider practices are appropriate and has all required rights and notices. Neither administrator authorization nor AgentShelf's approval overrides a provider prohibition. Contributor treatment depends on the particular offering, not the provider's name.
AgentShelf may suspend a Contributor offering if its provider terms change until the applicable disclosure has been reviewed and updated. Contributor authorization does not authorize AgentShelf to use Customer Content for its own model training or general product improvement.
5. Model selection and available alternatives
Model settings may apply to an individual request, a Customer Agent, an organization, or a particular feature. When no model has been selected or a configured default is unavailable, the Services may select another available default. For Customer Agents and other features that use Customer's model settings, a default or replacement is selected only from the models Customer's administrators have enabled, and Section 4 continues to apply to Contributor Models. Some native platform features, such as the AI Agent Builder Guide, use a model AgentShelf selects, which may be one Customer's administrators have not enabled. AgentShelf runs those features only on models covered by a zero-data-retention arrangement with the AI Provider. Different models or features may involve different AI Providers.
If Customer requires a particular provider, processing location, or other restriction, Customer must confirm that the feature supports that requirement before use and record any agreed restriction in an Order. Model availability alone does not establish suitability for Customer's confidentiality or regulatory requirements.
6. Outputs and human review
AI-generated Outputs may be inaccurate, incomplete, inconsistent, biased, offensive, or unsuitable and may not be unique. AgentShelf does not represent that Output is factually correct, non-infringing, or suitable for Customer's intended use. Customer is responsible for evaluating Outputs, verifying citations, code, calculations, actions, and material statements, and applying appropriate human review, testing, and professional judgment.
Customer must not rely on Output as the sole basis for a decision concerning a person's employment, housing, credit, insurance, education, healthcare, legal rights, government benefits, another area listed in Section 4 of the Acceptable Use Policy, or similar material opportunity. Professional uses require review by a properly qualified person.
7. Customer Agents and instructions
Customer is responsible for a Customer Agent's purpose, instructions, knowledge, enabled models, Tools, permissions, approval settings, public presentation, and deployment. Customer will test Customer Agents before production use and monitor them proportionate to risk.
Customer must not instruct a Customer Agent to violate law, the Agreement, third-party rights, or applicable provider terms. Customer must disclose AI interaction where required by law or applicable provider terms or reasonably necessary to prevent deception and must not deceptively present a Customer Agent as human.
8. Tools and external actions
A Customer Agent may read from or act in connected systems using permissions Customer grants. Customer is responsible for confirming that credentials and data may lawfully be used, granting only the access needed for the intended purpose, reviewing outcomes, and revoking access when no longer needed. Content a Customer Agent retrieves from websites, files, messages, or connected services may contain instructions. Those instructions do not expand the authority Customer has granted. Customer is responsible for actions a Customer Agent takes using the permissions Customer grants.
Customer must require human approval, or apply safeguards appropriate to the action, for consequential actions. These include transferring money or value, entering or changing agreements, deleting data, changing access, publishing content, sending external communications outside the scope, audience, and content rules Customer has configured and approved in advance, modifying authoritative records, or taking action affecting a person's safety, health, rights, or opportunities. Customer must configure and oversee its workflows to meet this obligation; model selection alone is not an authorization control.
Approval and other control features vary by plan, feature, and configuration. Customer is responsible for determining whether the available controls are sufficient for its use. AgentShelf may block or require approval for an action based on risk, policy, Customer configuration, or provider restrictions.
9. Public agents and widgets
Customer is responsible for the visitor experience, notices, branding, content, lawful basis, consent, and instructions associated with its public agents and widgets.
Customer must not configure a public agent to collect information unnecessary for its disclosed purpose or represent that an agent can provide emergency assistance. Customer must provide an accessible way to contact a person when appropriate to the use case.
10. Voice, telephone, and messaging
Voice and messaging features may process telephone numbers, audio, transcriptions, synthesized speech, recordings, message content, and carrier records. The Voice and Messaging Schedule governs these features, including Customer's responsibilities for consent, recording and transcription notices, sender identification and registration, opt-outs, calling hours, and campaign requirements. The Services are not an emergency service and must not be used to place or receive emergency calls.
11. Evaluation, monitoring, and support
Customer may use supported evaluation, testing, and monitoring features to assess agent quality, safety, cost, and reliability. Customer is responsible for ensuring that its evaluation materials and reviewer access are lawful and appropriately protected. Evaluating Customer's agents at Customer's request does not authorize use of those materials for AgentShelf's general improvement or training purposes.
AgentShelf may use Usage Data, synthetic test data, and AgentShelf-owned evaluation materials to improve the Services.
For help with supported models, configuration, or unexpected behavior, contact support@agentshelf.ai. Support availability and any agreed service levels are governed by the applicable Order or service terms. Customer is responsible for suspending a workflow or revoking connected access when necessary to prevent unintended actions while an issue is being addressed.
12. Suspension of models or capabilities
AgentShelf may suspend a model, Tool, agent, or capability, with or without notice, when reasonably necessary to address a security issue, provider restriction, legal requirement, material policy violation, unexpected harmful behavior, or service integrity.
13. Priority and changes
Section 1 of the Platform Terms of Service or, if Customer has an executed Enterprise MSA, that agreement sets this Schedule's priority among the documents forming the Agreement. Updates to this Schedule follow Section 22 of the Platform Terms or that Enterprise MSA.
Changes to model or provider availability or pricing do not themselves amend agreed processing restrictions, authorize Contributor Model use, or authorize a new use of Customer Content or Outputs.
