These Supplemental Credit Terms ("Credit Terms") form part of the agreement between Agentshelf Inc ("AgentShelf") and the business or organization that purchases, receives, or uses Credits ("Customer") governing the Services (the "Agreement"). Capitalized terms not defined here have the meanings in the Platform Terms of Service or applicable enterprise agreement, which also set the priority among the documents forming the Agreement.
1. Types of Credits
1.1 Usage Credits
"Usage Credits" are prepaid units Customer purchases to pay for eligible metered use of the Services. A request to purchase Usage Credits is an offer by Customer. AgentShelf accepts the offer when it confirms the purchase or posts the Usage Credits to Customer's account or organization.
1.2 Promotional Credits
"Promotional Credits" are credits AgentShelf provides without charge, including trial, promotional, support, service-recovery, migration, or discretionary credits. Promotional Credits may be subject to additional eligibility, product, plan, or use restrictions disclosed when issued.
1.3 Included allowances
Usage included in a subscription plan is a plan allowance, not a purchased Credit, unless the checkout page or Order expressly says otherwise. An unused plan allowance expires at the end of its billing period and does not roll over.
Usage Credits, Promotional Credits, and any other credit AgentShelf designates as subject to these Credit Terms are collectively "Credits."
2. Use and deduction
Credits may be used only for eligible Services associated with the Customer account or organization to which they are issued. AgentShelf deducts Credits according to the applicable model, provider, feature, communications, compute, storage, or other usage price in effect when the usage occurs.
Credits pay for AgentShelf's Services. They do not purchase, and give Customer no account with or right of direct access to, any third-party provider's service. AgentShelf sets its usage prices, which may differ from a provider's own prices.
Charges measure eligible resources consumed at the disclosed price, not a business outcome. A cancelled, failed, or incomplete request or workflow may incur charges for resources already consumed.
Pricing and the number of Credits needed for future usage may change on advance notice where reasonably practicable. A price change does not reduce the numeric balance already posted, but may change how much future usage that balance can purchase.
AgentShelf applies Credits according to its account and usage records. Displayed balances may not reflect all usage. Customer must notify support@agentshelf.ai of a suspected billing or Credit error within 60 days after the charge or deduction appears and provide information reasonably needed to investigate. Demonstrated errors will be corrected.
3. Expiration
Purchased Usage Credits expire one year after the purchase date, unless an Order expressly states another period. The purchase date is the date AgentShelf accepts the purchase under Section 1.1.
Promotional Credits expire on the date disclosed when issued. If AgentShelf does not disclose a date, they expire one year after issuance. AgentShelf may use a shorter promotional period when clearly disclosed before issuance.
Credits automatically expire when the associated Customer account or organization is closed or terminated, without refund except as stated in Section 4. Suspension does not extend an expiration date.
AgentShelf may provide expiration reminders as a convenience, but Customer is responsible for monitoring balances and expiration dates shown in the Services.
4. No refunds or cash value
Credits are non-refundable except where required by law, where AgentShelf corrects a duplicate or erroneous charge, or where the Platform Terms or an Order expressly provide a refund, including the remedies for without-cause termination or an uncured express warranty breach. A contractual refund is calculated from the eligible amount actually paid for unused Usage Credits and does not include Promotional Credits. Expiration, account closure, termination for Customer breach, or a change in Customer usage does not otherwise create a refund right.
Credits give Customer a limited contractual right to use eligible Services. They have no cash-redemption value, do not earn interest, are not a bank deposit, and may not be used outside the Services.
5. No transfer or resale; reversal
Customer may not sell, assign, transfer, sublicense, pledge, or exchange Credits to or with another person, account, or organization. AgentShelf may permit an administrative transfer between Customer-controlled workspaces within the same organization, but is not required to do so. A permitted assignment of the Agreement does not move Credits to another account or organization; they remain with the account or organization to which they were issued.
Credits obtained through fraud, mistake, unauthorized payment, chargeback, promotion abuse, or violation of the Agreement may be suspended, reversed, or canceled. A chargeback does not eliminate Customer's obligation for properly authorized usage.
6. Automatic recharge
AgentShelf may offer an optional automatic-recharge feature. Before activation, Customer selects or confirms the balance threshold, recharge amount, payment method, and any available spending or frequency limit.
By enabling automatic recharge, Customer authorizes AgentShelf and its payment processor to charge the selected payment method for the disclosed amount and applicable taxes each time the configured trigger occurs, until Customer disables the feature. Customer may disable future automatic recharges through the available account controls. Disabling recharge does not reverse a recharge already initiated or Credits already posted.
Saving a payment method does not by itself activate automatic recharge. If a charge fails, AgentShelf may retry it as permitted by the payment authorization, decline to post Credits, stop eligible usage when the balance is exhausted, or suspend affected paid features after notice.
7. Usage controls and insufficient balance
Unless Customer has affirmatively enabled automatic recharge or paid overages, eligible metered usage may pause when available allowances and Credits are exhausted. Usage controls and balances are not a guaranteed spending limit. Customer remains responsible for properly authorized usage incurred before the applicable stop takes effect, including usage that settles after a balance is displayed.
8. Account closure and termination
Section 3 states when Credits expire on account closure or termination. Section 4 states the refund treatment.
9. Changes
Updates to these Credit Terms follow Section 22 of the Platform Terms of Service or, if Customer has an executed Enterprise MSA, that agreement.
A material change to expiration, refund, transfer or automatic-recharge treatment applies to new Credit purchases after the change unless mandatory law or Customer's affirmative acceptance permits another result. The dated Credit Terms accepted when Usage Credits are purchased govern their expiration and refund treatment. A change requiring affirmative acceptance under Section 22 of the Platform Terms cannot be applied merely because Customer purchases more Credits or continues using the Services.
10. Contact
Questions about Credits or billing may be sent to support@agentshelf.ai. Legal notices or legal questions may be sent to legal@agentshelf.ai.
