These Marketplace and Publisher Terms (the "Marketplace Terms") form part of the agreement between Agentshelf Inc ("AgentShelf") and Customer. They apply to publishing, listing, distributing, installing, and using Marketplace Content. Capitalized terms not defined here have the meanings in the Platform Terms of Service.
1. Current marketplace
The marketplace supports publishing and installation. AgentShelf does not currently process marketplace purchases or pay publisher proceeds; paid marketplace transactions would require separately disclosed commercial terms before a publisher or customer participates. Installing Marketplace Content does not make all resulting use free: applicable platform, model, communications, and customer-connected service charges still apply.
2. Publisher responsibilities
A Customer publishing Marketplace Content ("Publisher") is responsible for its materials, listing, and any obligations it expressly undertakes to users. Publisher represents that it has the rights needed to publish the materials, include any third-party components, and grant the licenses described in these Marketplace Terms and its listing, and must not grant rights it does not hold.
Listings must accurately describe the materials' purpose, capabilities, limitations, required permissions, third-party dependencies, applicable licenses (including third-party and open-source requirements), material use restrictions, and any separate charges. A listing must not imply that AgentShelf presently collects payments or makes payouts for it. Publisher must not conceal harmful behavior, unnecessary access, data collection, or restrictions that materially affect use. Publisher may not include confidential or personal information without the rights and permissions needed to make it available as described.
Publisher must comply with the Acceptable Use Policy, keep its contact details current, and promptly correct or remove materials that are or become unlawful, unsafe, misleading, infringing, or incompatible. Publisher must promptly notify AgentShelf of a suspected security compromise of its materials or a material change in the permissions they require or in how they use data. Publisher must protect any credentials it handles and use information obtained through its materials only for the disclosed purpose. Publication does not promise a particular ranking, promotion, number of installations, or continued listing.
3. Ownership and permission to operate the marketplace
Publisher retains ownership of its Marketplace Content, subject to others' rights. By submitting materials for publication, Publisher grants AgentShelf a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, format, test, and secure those materials as needed to operate and promote the listing and provide permitted installations. This license does not authorize AgentShelf to use Customer Content or Outputs for model training or general product improvement. Private information not submitted for publication remains subject to the Agreement's confidentiality and data-use terms.
4. Installation and use rights
Installing Marketplace Content does not transfer ownership. Its disclosed license governs permitted use.
If no separate license is identified, Publisher permits Customer to install, configure, and use the materials through the Services for Customer's business purposes, including deployments otherwise permitted by the Agreement. This permission does not authorize resale or redistribution of the materials as a standalone product or removal of required ownership or license notices.
Customer must review the listing, licenses, permissions, and connected-service terms before use, test materials for its intended purpose, and supervise any resulting agent actions. AgentShelf's review or listing is not an endorsement or assurance of accuracy, safety, legal suitability, or compatibility.
5. Third-party services and support
Marketplace Content may require separately enabled models, integrations, or other services. Their own terms, data practices, and availability apply, and Customer is responsible for the permissions and accounts it connects.
Any Publisher support or warranty must be expressly identified in the listing or a separate agreement. AgentShelf does not assume a Publisher's obligations merely by hosting its materials.
6. Review, removal, and withdrawal
AgentShelf may review, rank, moderate, reject, restrict, suspend, or remove materials or listings for rights complaints, security, legal compliance, policy violations, quality, compatibility, or operational reasons. AgentShelf is not obligated to review every submission or continuously monitor every installation.
Publisher may request withdrawal of a listing through the available controls or support@agentshelf.ai. Withdrawal stops future distribution as reasonably practicable but does not automatically revoke licenses already granted or remove copies already installed. Existing licenses, legal obligations, and necessary operational records may survive withdrawal. If Publisher's account is closed or terminated, its listings are withdrawn on the same terms, and AgentShelf may retain the published materials as needed for those purposes despite the deletion terms in Section 17 of the Platform Terms. AgentShelf may restrict continued use when necessary to address harm, law, or a rights complaint.
7. Rights complaints
Send copyright or other rights complaints to legal@agentshelf.ai, identifying the disputed material, its location, the rights involved, and reliable contact information. AgentShelf may request additional information, notify the Publisher, restrict access, or remove the material. Publisher must cooperate with reasonable requests concerning rights, safety, or compliance.
Customers may not submit knowingly false complaints. AgentShelf may restrict or terminate accounts that repeatedly infringe others' rights, subject to the Agreement and applicable law. These provisions do not limit any formal rights or procedures required by law.
8. Other agreement terms
The Agreement's confidentiality, data-use, indemnity, warranty, liability, dispute, and acceptable-use terms apply. Section 1 of the Platform Terms of Service or, if Customer has an executed Enterprise MSA, that agreement sets these Marketplace Terms' priority among the documents forming the Agreement. Updates to these Marketplace Terms follow Section 22 of the Platform Terms or that Enterprise MSA.
